The Spring 2005 Audit Committee Roundtable
At the Tampa Spring 2005 Audit Committee Roundtable, Enhancing Oversight of Internal Control Over Financial Reporting: Understanding Challenges, Exploring Value, we will consider the lessons learned from S-O 404 and explore how audit committees can improve their oversight of the financial reporting process. In addition attorneys at the roundtable will address the responsibility of the audit committee to consider internal control over financial reporting throughout the year, and the possible oversight implications of recent court actions and highly publicized settlements involving independent directors. KPMG's Audit Committee Roundtables are designed to provide a highly interactive panel-led forum for the exchange of views and insights on topics of interest to members of corporate boards, audit committees, and senior executives.

Mark C. Terrell, Retired Executive Director
KPMG's Audit Committee Institute

Mark C. Terrell, based in Montvale, N.J., is the retired executive director of KPMG's Audit Committee Institute (ACI), a national resource for corporate board members and senior management. He continues to be active in the area of governance process issues and serves as a Faculty Member of the Corporate Directors Institute sponsored by the National Association of Corporate Directors. He joined the accounting and tax firm in 1969 and had been an audit engagement partner from 1979 until joining ACI in 2000. As audit partner he served public companies, electric utilities, real estate investment trusts, retail and wholesale consumer goods companies, and publishing and research firms. He was managing partner in KPMG's El Paso, Texas, and Albuquerque, N.M., offices from 1985-1996.

Bob Grammig, Partner, Holland & Knight LLP

Robert J. Grammig has practiced in the areas of corporate finance, securities law, general corporate law and international business transactions. His practice currently includes a wide range of corporate, securities and commercial law matters, including: public offerings registered under the federal and state securities laws; private placements under the federal and state securities laws; mergers and acquisitions; periodic reporting and compliance matters under the Securities Exchange Act of 1934; corporate governance matters; contests for corporate control; and other commercial law matters. He has devoted a significant part of his practice to international business transactions, representing both United States and foreign entities.

Mr. Grammig earned his B.A. summa cum laude and his M.A. in 1978 from the University of Pennsylvania, where he was elected to Phi Beta Kappa. He earned his J.D. in 1981 from Harvard Law School, where he was Notes and Comments Editor of the Harvard International Law Journal. From 1981-82, he served as a law clerk to the Honorable Thomas A. Clark, United States Court of Appeals for the Fifth and Eleventh Circuits.
